Terms of Service

By accessing or using the services provided by AdChats LLC dba GenLeads.com (“GenLeads,” “we,” “us,” or “our”), including our AI-powered lead generation tools, overlay scripts, and hosted conversational environments (collectively, the “Services”), you agree to be bound by these Terms of Service.

Important: If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to these terms, you must not access or use the Services.

GenLeads provides a high-performance conversational AI platform designed to transform advertising traffic into pre-qualified leads. Our services include:

• GenLeads Overlay™: A JavaScript-based embeddable interface for existing landing pages.
• GenLeads Native™: A full-screen, hosted environment optimized for high-ticket industry conversions.
• AdChats Core™ Engine: Our proprietary Natural Language Processing (NLP) framework that facilitates user consultation.

3. User & Client Responsibilities

Clients utilizing GenLeads to engage with end-users ("Consumers") are responsible for:

• Information Accuracy: Ensuring that all data provided to the AI for training or knowledge base purposes is accurate and up-to-date.
• Regulatory Compliance: Complying with all applicable laws, including TCPA, GDPR, CCPA, and industry-specific regulations (e.g., insurance licensing disclosures).
• Lead Follow-up: GenLeads pre-qualifies intent; however, the ultimate fulfillment of services advertised is the sole responsibility of the Client.

5. Data & Privacy Integration

Use of the Services is also governed by our Privacy Policy. By using GenLeads, you consent to our collection and use of interaction data to improve the AI's efficacy. Clients must ensure they have provided all necessary "Privacy Notices" to End Users before deploying the GenLeads script on their properties.

6. Prohibited Activities

You agree not to engage in any of the following:

• Reverse Engineering: Attempting to extract source code or underlying logic from AdChats Core™ or the GenLeads SDK.
• Spam & Harassment: Using the conversational engine to deliver unsolicited messages or deceptive content.
• Data Scraping: Automated extraction of interaction data from the platform without explicit written authorization.
• Illegal Sectors: Using GenLeads to promote weapons, illegal substances, or fraudulent financial schemes.

All rights, title, and interest in the GenLeads platform, including AdChats Core™, modular animations, proprietary UI/UX flows, and AI training methodology, are the exclusive property of AdChats LLC.

Clients are granted a limited, non-transferable license to use the GenLeads code on their authorized domains for the duration of the subscription service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADCHATS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM ALGORITHMIC CONVERSATIONS OR LEAD QUALIFICATION ERRORS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID TO GENLEADS BY THE CLIENT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. Termination of Service

We reserve the right to suspend or terminate your access to the platform immediately and without notice if we detect a breach of the Prohibited Activities outlined in Section 6, or if payment for services becomes delinquent.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved through binding arbitration in a venue determined by AdChats LLC.
